Welcome to El Distro Network ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website (eldistronetwork.com) and our music distribution services (collectively, the "Services"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services. 

1. About Us 

El Distro Network is a music distribution service owned by Barcids Limited, a company legally registered in Cork, Ireland. El Distro Network is a marketing name for El Distro Records and Publishing, which is a legal entity under Barcids Limited. Our mission is to empower artists and labels by distributing their music to major digital platforms. Registered Address: Barcids Limited Unit 3D North Point House, North Point Business Park New Mallow Road, Cork, Co. Cork, Ireland 

2. Eligibility 

By using the Services, you confirm that: - You are at least 18 years old or have the legal capacity to enter into this agreement. - You have the authority to act on behalf of any entity you represent. - You own or control the rights to the music and content you upload for distribution. 

3. Registration 

To access certain features, you may need to create an account. You agree to: - Provide accurate and complete information during registration. - Keep your account credentials secure. - Notify us immediately of unauthorized account access. 

4. Use of the Services 

You agree to: - Use the Services solely for lawful purposes. - Refrain from uploading content that infringes intellectual property rights, contains explicit or illegal material, or violates any laws. - Not upload or distribute music generated by artificial intelligence (AI). AI-generated music is strictly prohibited under these Terms. We reserve the right to review and remove any content or accounts that violate these Terms, issue takedown notices for infringing content, and ban users from our Services without refund if they are found to have violated these terms. 

5. Intellectual Property 

You retain ownership of the music and content you upload. However, by using our Services, you grant us an exclusive, worldwide, royalty-free license to distribute, promote, and sublicense your music to digital platforms for the duration of the agreement. This license is essential to facilitate distribution and cannot be revoked while your content is actively distributed through our Services. You represent and warrant that you own or have secured all necessary rights to upload and distribute your content. El Distro Network will not be held liable for any copyright infringement caused by your content. If we receive evidence or claims of copyright violations, we may remove the content and suspend or terminate your account without refund. 

6. Payments, Refunds, and Royalties 

You will receive royalties from your music as paid by the digital platforms, minus our service fees. - Payments are made according to the payment schedule outlined on our website. - You are responsible for providing accurate payment information and handling any applicable taxes. - Refund Policy: Subscription fees are non-refundable. Once a payment has been processed, no refunds will be issued for any reason, except as required by applicable law. By subscribing to our Services, you acknowledge that you are not entitled to a refund unless mandated by law. 

7. Termination 

You may terminate your account at any time by contacting us. We may also suspend or terminate your account if you: - Violate these Terms. - Engage in fraudulent or illegal activities. - Misuse copyrights or upload third-party content without authorization. Upon termination, your music will be removed from digital platforms within a reasonable time. In cases of termination due to a breach of these Terms, no refund will be issued. 

8. Limitation of Liability 

To the fullest extent permitted by law, El Distro Network and Barcids Limited shall not be liable for: - Indirect, incidental, or consequential damages. - Loss of revenue, data, or goodwill arising from the use of our Services. - Copyright infringement claims related to content uploaded by users. 

9. Indemnification 

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising out of: - Your use of the Services. - Any breach of these Terms. - Content you upload for distribution, including copyright infringement claims. 

10. Changes to the Terms 

We may update these Terms from time to time. Changes will be posted on our website, and your continued use of the Services constitutes acceptance of the revised Terms. 

11. Governing Law 

These Terms are governed by the laws of Ireland. Any disputes arising under these Terms shall be resolved exclusively in the courts of Ireland.
